1. Agreement to Terms

By accessing or using Liftcommerce Studio's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

Liftcommerce Studio provides ecommerce development, marketing, and consulting services. Specific deliverables, timelines, and fees are outlined in individual project agreements or service contracts.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information as requested
  • Respond to communications and provide feedback in a timely manner
  • Ensure you have the rights to any content you provide to us
  • Pay all fees according to the agreed-upon payment schedule
  • Not use our services for any illegal or unauthorized purpose

4. Payment Terms

Payment terms are specified in individual project proposals or service agreements. Generally:

  • Project-based work requires 50% deposit before work begins
  • Remaining balance is due upon project completion or as specified
  • Monthly retainers are billed at the beginning of each month
  • Late payments may incur a fee of 1.5% per month

5. Intellectual Property

Upon full payment, clients receive ownership of all custom work created specifically for their project, including designs, code, and content. We retain the right to:

  • Showcase the work in our portfolio (unless otherwise agreed)
  • Reuse general techniques, tools, and non-proprietary code
  • Reference the client relationship in marketing materials

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes business strategies, financial information, and technical details not publicly available.

7. Limitation of Liability

Liftcommerce Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

8. Warranties and Disclaimers

We provide services on an "as is" basis. While we strive for excellence, we do not guarantee specific results such as revenue increases, traffic growth, or conversion rates. Past performance is not indicative of future results.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • Client is responsible for payment of work completed to date
  • We will provide all deliverables completed at termination
  • Unused prepaid retainer fees are refundable on a prorated basis

10. Dispute Resolution

Any disputes arising from these terms shall be resolved through good faith negotiation. If unresolved, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in New York, NY.

11. Modifications

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of modified terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
